i want to get a shop set up and running in a password protected folder before i switch over from the old site.
 
would it be possible to just copy the files over to the parent directory?

Yes, it will be possible just to move all files to another destination.
Problems that you may face to are:
1. Images' absolute paths if you have filled them in products, categories, articles, etc. and images are situated in root or some child directory of the shop.
2. Payment systems' parameters if they use relative path to some data which is outside shop root directory.
